87 bps

of the FY27 growth guidance is acquired revenue

Take it out and the organic midpoint is about 2.4%, by our arithmetic, a shade under April's 2.5%: the raise is bought revenue.

How they did last quarter

A better quarter for margin and AI revenue, a flat one for growth, 2.6% in both quarters, with bought revenue now inside it, and a weaker one for cash.

  • Revenue growth, constant currency
2.6% on a year ago for the company, 4.0% for services
vs 2.6% for the company and 3.5% for services the quarter before [3]
Company growth did not move; services' half-point gain came from an acquisition, by our arithmetic.
  • EBIT margin
    18.2%, or 19.0% before restructuring
vs 16.9% the quarter before and 17.2% for the whole of FY26 [15][5][6]
A real step up that the unchanged yearly range has not yet absorbed.
  • Net cash
$2.56 billion at the end of September
vs $3.51 billion at the end of March
Down 27% in six months by our arithmetic, with free cash flow now below the payout.
  • HCL Software revenue
$294M, down 11.2% on a year ago in constant currency
    vs $313M the quarter before
Revenue fell while recurring revenue grew, the gap management attributes to licence timing.

The raise is mostly acquired revenue

HCLTech raised the bottom of its revenue growth guidance for this fiscal year, in constant currency, and left the top where it was. It reads as a raise. But the new range now includes revenue from two businesses bought this year, which the April guidance had expressly left out. The company put their weight at 87 basis points, a basis point being a hundredth of a percentage point.

Take that out and the picture changes. By our arithmetic the organic midpoint is a shade lower than April's. The chief financial officer described the organic midpoint as broadly unchanged, and that is fair. For services the floor rose and the ceiling came down.

The acquired part is not a forecast of more deals. By our arithmetic it is only what the two purchases bring in if their current pace simply carries on through the year. The large contract signed in July adds nothing to revenue in the next two quarters, the CEO said. The floor moved up, and bought revenue now sits inside it. The top did not move.

Margin improved, and management means to spend it

Operating (EBIT) margin was 18.2% in the September quarter, against 16.9% the quarter before, and higher still before the restructuring cost. The range for the year did not move. If restructuring stopped and last quarter's pre-restructuring rate held, by our arithmetic the year would land in the upper half of that range, and whether the cost continues is for the second half to show.

Asked about a medium-term range, the CEO called a band above the current range a desired one but declined to commit, and said: "we will always want to invest to gain more capability and differentiation rather than optimize margins in this phase of the industry." A band like that was the company's guidance at the start of the previous fiscal year. It was cut to 17% to 18% a few months in, and the year ended at 17.2%, inside the cut range. Revenue growth for the year ended at 3.9% in constant currency, a tenth of a point under the 4% to 4.5% guided in January 2026; services grew 4.8%, inside its January range of 4.75% to 5.25%.

Cash is thinner, and software waits on a calendar

Net cash was $2.56 billion, against $3.51 billion six months earlier. Part of that fall is dividends and purchases: two dividends were paid, Jaspersoft and the HPE business were bought, and a stake was taken in Sarvam; neither the July nor the October call splits the fall. Free cash flow over the last twelve months was 87% of net income, well below the earlier pace, and dividends declared over the same twelve months took slightly more than that. Management blames a tax payment under a pricing agreement and a transfer into an external trust, and said conversion should revert to roughly all of profit or more as they leave the twelve-month window.

Software is the other open item. Its revenue fell on a year ago, in constant currency, while recurring revenue (ARR) grew without the newly bought Jaspersoft. In April the company put the fourth-quarter software fall down to delayed procurement; this quarter's fall it puts down to fewer multiyear licences coming up for renewal, which recognise most of their revenue upfront. Renewals come back over the following two fiscal years, it said, and the next quarter will step up.

What is still open

Advanced AI revenue reached $219 million last quarter, and by our arithmetic supplied about two-thirds of the rise in reported dollar revenue, which itself includes acquired revenue. The company credits AI mix with 32 basis points of the margin gain. If the CEO's "at least 7% to 10% higher" margin for AI services means percentage points, a mix shift of this size explains roughly a third of that, by our arithmetic. Either the premium is larger than stated or the gain is partly something else.

So four things are still open: the software step-up in the next quarter, AI growth with its margin premium intact, cash conversion back above profit, and a guidance floor that is reached without further purchases. In this report HCLTech pointed to ARR rather than software revenue, and to margin before restructuring. Both are fair measures. Both are also the measures that read best this quarter, and the next report will show whether they still do.

The record: notes, full financial tables

Notes

  1. Impact 4/5 Guidance Mixed

HCLTech lifts FY27 growth floor to 2.5%, but 87 bps of it is acquisitions

HCLTech raised the bottom of its FY27 constant-currency revenue growth guidance to 2.5% from 1% and left the top at 4%; services is now 3% to 4%. The range includes 87 basis points from acquisitions (62 for services) that the April 2026 guidance had left out. By our arithmetic the organic midpoint is about 2.4%, against 2.5% in April. The large contract signed in July adds no revenue in the next two quarters.

“This implies that midpoint of our organic growth guidance, both at services and company level is broadly unchanged.”— Shiv Walia, Chief Financial Officer
  2. Impact 4/5 Margin Mixed

HCLTech EBIT margin reaches 18.2%, up 131 bps, yet the FY27 range stays 17.5% to 18.5%

EBIT margin was 18.2% in the September 2026 quarter, up from 16.9% the quarter before, and 19.0% before 84 basis points of restructuring cost. The company kept its FY27 range of 17.5% to 18.5%. The CEO called 18% to 19% a desired band but declined to commit to it. At the start of FY26, in April 2025, the margin guide was 18% to 19%; it was cut to 17% to 18% and the year ended at 17.2%.

“we will always want to invest to gain more capability and differentiation rather than optimize margins in this phase of the industry.”— C. Vijayakumar, CEO and Managing Director
  3. Impact 3/5 Demand Mixed

HCL Software revenue falls 11.2% while ARR rises 7.6%, or 2.6% without Jaspersoft

HCL Software revenue was $294M in the September 2026 quarter, down 11.2% on a year ago in constant currency, while recurring revenue (ARR) was $1.134B, up 7.6% (2.6% excluding Jaspersoft). In April the company put the fourth-quarter software fall down to delayed procurement; now it points to revenue from multiyear subscription licences falling from $81M a year earlier to $39M because fewer came up for renewal. The company says renewals come back in FY28 and FY29 and that the third quarter will step up.

“The reported revenue decline does not accurately reflect the underlying health of the software business.”— Shiv Walia, Chief Financial Officer
  4. Impact 3/5 Balance sheet Negative

HCLTech net cash falls 27% in six months to $2.56B; free cash flow is 87% of profit

Net cash was $2.56B at the end of September 2026, down from $3.51B at the end of March, which is 27% by our arithmetic. Free cash flow over the last twelve months was 87% of net income, against 120% in the January 2026 results, and dividends declared over the same period were 88.6% of net income. Management cites a tax payment under a pricing agreement and a transfer into an external trust, and said conversion should revert to maybe 100% or more. Dividends and purchases (Jaspersoft, the HPE business, a $150 million Sarvam stake) took cash in these six months; neither the July nor the October call splits the fall.

  5. Impact 4/5 Demand Positive

HCLTech advanced AI revenue reaches $219M, up 28.4% on the quarter before

Advanced AI revenue was $219M in the September 2026 quarter, up 28.4% on the quarter before and 78% on a year ago. By our arithmetic that $48M gain was about 65% of the $74M rise in reported dollar revenue, which includes $35.6M of acquired revenue. If the CEO's "at least 7% to 10% higher" margin for AI services means points, the mix shift explains roughly 8 to 12 basis points of the 32 the company credited to it.

“the annualized advanced AI revenue is now $876 million.”— C. Vijayakumar, CEO and Managing Director
